Welcome to the WellPro™ platform, operated by Intelligent Wellness Solutions Inc. ("WellPro™," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the WellPro™ website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Eligibility
   • The Services are intended solely for use by licensed healthcare professionals. By using our Services, you represent and warrant that you are a licensed healthcare professional in good standing and that you will use the Services in compliance with all applicable laws and regulations.
2. Account Registration
   • o access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Use of the Services
   • You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
     
     • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services;
     • Attempt to gain unauthorized access to any portion of the Services or any related systems or networks;
     • Use the Services to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature;
     • Use the Services to transmit any unsolicited or unauthorized advertising, promotional materials, or other forms of solicitation;
     • Use the Services to transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
4. Subscription Terms and Billing
   • The Services are offered on a paid subscription basis, with multiple plans and tiers available. Subscriptions are based on annual agreements, with the option to pay monthly or annually (with a discount for annual payments).
   • All subscription fees are non-refundable, and you are responsible for paying the full annual amount, regardless of whether you choose to pay monthly or annually. WellPro™ reserves the right to modify its subscription plans, pricing, and billing practices at any time, with reasonable notice to users.
5. Intellectual Property Rights
   • The Services and all content and materials included on the Services, such as text, graphics, logos, images, software, and the compilation and organization thereof (collectively, the "WellPro Content"), are the property of WellPro™ or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
   • You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the WellPro Content for your personal, non-commercial use, subject to your compliance with these Terms of Use. This license does not permit you to:
     
     • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any WellPro Content;
     • Use the WellPro Content for any commercial purpose or for any public display (commercial or non-commercial);
     • Attempt to decompile, reverse engineer, or disassemble any software or other components of the Services;
     • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the WellPro Content.
   • Any use of the WellPro Content not expressly permitted by these Terms of Use is a breach of these Terms and may violate copyright, trademark, and other laws. If you violate any of these Terms, your permission to use the WellPro Content automatically terminates, and you must immediately destroy any copies you have made of any portion of the WellPro Content.
6. Trademarks
   • WellPro™, the WellPro™ logo, and any other WellPro product or service names, logos, or slogans that may appear on the Services are trademarks of WellPro™ and may not be copied, imitated, or used, in whole or in part, without the prior written permission of WellPro™.
   • You may not use any metatags or other "hidden text" utilizing "WellPro" or any other name, trademark, or product or service name of WellPro™ without our prior written permission.
   • All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
7. Third-Party Services
   The Services may integrate with or rely on third-party services, such as electronic health record systems, or lab testing providers. WellPro™ does not endorse or guarantee the accuracy, reliability, or security of these third-party services. Your use of third-party services is subject to the terms and conditions and privacy policies of those service providers.
8. User Content
   • You retain all rights, title, and interest in and to any content you submit, upload, or post on the Services, including but not limited to health and wellness protocols, products, services, and client or patient data (collectively, "User Content"). WellPro™ does not claim any ownership rights over your User Content.
   • By submitting, uploading, or posting User Content on the Services, you grant WellPro™ a limited, non-exclusive, royalty-free, and revocable license to access, store, and use your User Content solely for the purpose of providing and maintaining the Services. This license does not allow WellPro™ to disclose, sell, or otherwise share your User Content with third parties without your explicit consent, except as required by applicable laws or regulations.
   • You represent and warrant that you have all rights, licenses, consents, and permissions necessary to grant the limited license to WellPro™ as set forth in these Terms, and that your User Content does not infringe, violate, or misappropriate any third-party rights, including intellectual property rights and privacy rights.
   • You agree not to submit, upload, or post any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. WellPro™ reserves the right to remove any User Content that violates these Terms or that WellPro™ determines, in its sole discretion, to be inappropriate.
   • You acknowledge and agree that you are solely responsible for your User Content and for any consequences of submitting or uploading such User Content.
   • WellPro™ shall maintain appropriate administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of your User Content, in accordance with applicable laws and regulations, such as HIPAA.
9. User’s Clients & Patients
   • The Services are intended to facilitate interactions and the provision of healthcare and wellness services between our users (healthcare & wellness professionals) and their clients or patients. WellPro™ does not provide medical advice, diagnosis, or treatment, and the Services are not a substitute for professional medical care.
   • Users are solely responsible for their interactions and relationships with their clients or patients, including but not limited to:
     
     • Obtaining and maintaining all necessary licenses, certifications, and permissions to provide healthcare services;
     • Complying with all applicable laws, regulations, and professional ethics related to the provision of healthcare services;
     • Obtaining informed consent from clients or patients and maintaining appropriate documentation of healthcare services provided;
     • Ensuring the accuracy, completeness, and appropriateness of any information, advice, or treatment provided to clients or patients.
   • WellPro™ is not responsible for any actions, omissions, or decisions made by users in the course of providing healthcare services to their clients or patients. Users agree to indemnify and hold WellPro™ harmless from any claims, damages, or liabilities arising from their interactions with clients or patients.
   • If you are a client or patient of a healthcare professional using the Services, please be aware that your relationship is solely with that healthcare professional, and not with WellPro™. Any questions, concerns, or disputes regarding the healthcare services you receive should be directed to your healthcare professional.
10. Feedback
    If you provide WellPro™ with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby grant WellPro™ a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Feedback in connection with the Services and WellPro's business, without any compensation or attribution to you.
11. Privacy
    WellPro™ is committed to protecting your privacy. Our Privacy Policy, which is incorporated into these Terms by reference, describes how we collect, use, and disclose information about you when you use the Services. By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
12. Severability
    If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law. The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
13. Waiver
    WellPro's failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. A waiver of any right or provision shall be effective only if made in writing and signed by a duly authorized representative of WellPro™.
14. Entire Agreement
    These Terms, together with our Privacy Policy and any other legal notices or agreements published by WellPro™, constitute the entire agreement between you and WellPro™ regarding your use of the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and WellPro™.
15. Use of AI Technologies
    • The Services utilize Generative AI, NLP, LLMs, and other AI technologies to provide personalized recommendations, generate content, and improve the overall user experience. By using the Services, you acknowledge and agree that the outputs generated by these technologies may not always be accurate, complete, or reliable.
    • WellPro™ does not guarantee the accuracy, reliability, or completeness of any information or content generated by AI technologies and shall not be liable for any errors, inaccuracies, or omissions in such information or content.
    • You understand and agree that the use of AI technologies may result in the generation of content that is similar to or inspired by User Content. By using the Services, you grant WellPro™ the right to use your User Content as input for AI technologies and to generate derivative works based on your User Content.
    • In the event that AI-generated content infringes upon third-party intellectual property rights, WellPro™ shall promptly remove such content upon receiving notice of the infringement and shall work with the affected parties to resolve the issue in accordance with applicable laws and regulations.
16. Data Usage and Privacy in AI Systems
    • By using the Services, you acknowledge and agree that your User Content, including client or patient data, may be processed and analyzed by AI technologies to provide personalized recommendations and improve the Services.
    • WellPro™ shall ensure that all data processed by AI technologies is handled in accordance with applicable data protection laws and regulations, such as HIPAA, and shall not share any personal or sensitive information with third parties without your explicit consent.
    • WellPro™ shall implement appropriate technical and organizational measures to ensure the security and confidentiality of data processed by AI technologies.
17. Limitations of AI-Generated Content
    • While WellPro™ strives to provide accurate and helpful information through the use of AI technologies, you acknowledge and agree that any recommendations, advice, or content generated by the Services should not be considered a substitute for professional medical advice, diagnosis, or treatment.
    • You agree to review and validate any AI-generated content before relying on it or using it in your professional practice. WellPro™ shall not be liable for any consequences arising from your use of or reliance on AI-generated content.
18. Ethical Use of AI
    WellPro™ is committed to the ethical and responsible use of AI technologies. We shall make reasonable efforts to ensure that the Services do not perpetuate biases or discriminate against any individuals or groups based on protected characteristics such as race, gender, age, or disability. However, we cannot guarantee that the outputs generated by AI technologies will always be free from bias or discrimination.
19. Limitation of Liability for AI-Generated Content
    To the fullest extent permitted by law, WellPro™ shall not be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of or in connection with your use of or reliance on any AI-generated content provided through the Services.
20. Indemnification for AI-Related Claims
    You agree to indemnify, defend, and hold harmless WellPro™ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of AI-generated content or your violation of any provisions related to the use of AI technologies in these Terms.
21. Modifications to AI Technologies
    WellPro™ reserves the right to update, modify, or discontinue the use of any AI technologies in the Services at any time without prior notice. We shall not be liable to you or any third party for any modifications, suspensions, or discontinuations of the AI technologies used in the Services.
22. Compliance with Laws and Regulations
    WellPro™ shall make reasonable efforts to ensure that the use of AI technologies in the Services complies with applicable laws and regulations. However, you acknowledge and agree that the legal landscape surrounding AI technologies is constantly evolving, and WellPro™ cannot guarantee that the Services will always be in compliance with all applicable laws and regulations.
23. Reporting AI-Related Issues
    If you encounter any issues, errors, or inaccuracies with the AI-generated content or the AI technologies used in the Services, please report them to WellPro™ promptly. We appreciate your feedback and will make reasonable efforts to address any reported issues in a timely manner.
24. Third-Party Integrations
    • The Services may include integrations with third-party products, services, and apps, such as electronic health record systems, billing software, and telehealth providers. By using these integrations, you acknowledge and agree that WellPro™ is not responsible for the content, accuracy, or reliability of any third-party services, and that your use of these services is subject to their respective terms and conditions and privacy policies.
    • WellPro™ shall not be liable for any damages, losses, or liabilities arising out of or in connection with your use of third-party integrations, and you agree to indemnify and hold WellPro™ harmless from any claims or disputes related to your use of these services.
25. User Interactions
    • The Services may allow users to interact with each other through messaging, telehealth, and other collaboration tools. You agree to use these features responsibly and in compliance with all applicable laws and regulations.
    • You shall not use the Services to engage in any form of harassment, hate speech, discrimination, or other inappropriate behavior. WellPro™ reserves the right to monitor user interactions and to remove any content or terminate any user account that violates these Terms or any applicable laws.
26. Telehealth Services
    • WellPro™ offers telehealth services as part of its platform, enabling users to communicate with healthcare professionals remotely through secure video, audio, and messaging technologies.
    • By using our telehealth services, you acknowledge and agree that:
      
      • Telehealth services are not a substitute for in-person medical care and are intended to supplement, rather than replace, traditional healthcare services;
      • Telehealth services may not be appropriate for all medical conditions or situations, and it is your responsibility to assess whether telehealth is suitable for your specific needs;
      • The quality and effectiveness of telehealth services may be affected by factors such as network connectivity, device performance, and the accuracy of information provided by users;
      • WellPro™ does not guarantee the availability, timeliness, or quality of telehealth services and shall not be liable for any damages or losses arising from the use of or inability to use such services.
    • You agree to use telehealth services in compliance with all applicable laws, regulations, and professional ethics, including but not limited to obtaining informed consent from patients and maintaining appropriate documentation of telehealth encounters.
    • WellPro™ shall implement reasonable security measures to protect the confidentiality, integrity, and availability of data transmitted during telehealth encounters, in accordance with HIPAA and other applicable regulations.
27. HIPAA Compliance
    WellPro™ is committed to complying with the Health Insurance Portability and Accountability Act (HIPAA) and ensuring the privacy and security of protected health information (PHI). By using the Services, you acknowledge and agree that WellPro™ may use and disclose PHI in accordance with its HIPAA-compliant Privacy Policy [link to Privacy Policy] and Business Associate Agreement (BAA) [link to BAA], which are incorporated into these Terms by reference.By accepting these Terms of Use, you acknowledge that you have reviewed the BAA and agree to its terms. If you do not agree to the terms of the BAA, you may not use our Services in any manner that involves our access to PHI.We reserve the right to update the BAA from time to time to comply with changes in applicable laws and regulations. Any updates to the BAA will be posted on our website and will become effective upon posting. Your continued use of our Services after any updates to the BAA constitutes your acceptance of the updated terms.
28. International Use
    • The Services are initially available in the United States and Canada, but may be accessed by users in other countries, such as India, Europe, Asia, and the Middle East. By using the Services from outside the United States or Canada, you acknowledge and agree that your use of the Services is subject to the laws and regulations of your jurisdiction, and that you are solely responsible for complying with such laws and regulations.
    • WellPro™ makes no representations or warranties that the Services are appropriate or available for use in all jurisdictions. If you access the Services from a jurisdiction where the use of the Services is prohibited or restricted, you do so at your own risk and are solely responsible for complying with local laws and regulations.
29. Disclaimer of Warranties
    The Services are provided "as is" and without warranties of any kind, whether express or implied. WellPro™ does not warrant that the Services will be error-free, uninterrupted, or free from harmful components. WellPro™ disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
30. Limitation of Liability
    In no event shall WellPro™ be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if WellPro™ has been advised of the possibility of such damages.
31. Indemnification
    You agree to indemnify, defend, and hold harmless WellPro™ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.
32. Termination
    WellPro™ reserves the right to terminate your access to the Services at any time and for any reason, without prior notice. Upon termination, you must immediately cease all use of the Services.
33. Governing Law and Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any principles of conflicts of law. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in DeKalb County, Georgia, and the arbitrator's decision shall be final and binding. In the event that arbitration is not available or enforceable, any legal proceedings arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in DeKalb County, Georgia, and you consent to the jurisdiction of such courts.
34. Changes to These Terms
    WellPro™ reserves the right to update or modify these Terms at any time, without prior notice. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
